- Technology Valuation – It is critical to properly value a technology before beginning negotiations. Seeking a value that is too high leads to failed negotiations, while seeking a value that is too low leaves money on the table. SDC will use its time-tested valuation techniques to determine a fair value for your technology that does not rely solely on comparables, giving you an advantage during your negotiations while limiting the risk of undervaluing your technology.
While having a value for your technology is an advantage, understanding the underlying principles of the valuation will facilitate negotiations. - Commercial/Internal Use Agreement Negotiation – Licensing is arguably the most important aspect of technology transfer. Licensing puts inventions in the hands of those that can develop them into life-saving therapeutics. Licensing also generates a return on investment for stakeholders. SDC has been involved in negotiating or supervising/advising on the execution of over 400 license agreements, including three that generated FDA-approved therapeutics. - Monitoring and Enforcement – While licensing an invention is a crowning achievement, it is not the end of the journey. Licensees have obligations to meet developmental deadlines, submit annual reports, and make specified payments. In most instances, missed obligations are a simple oversight, and the licensee just needs a small reminder to become compliant. SDC can assist you in both situations, assuming the tedious task of reminding licensees of their obligations, as well as negotiating amendments to licenses where deadlines haven’t/can’t be met.
- Collaborative Agreement Negotiation – Although many collaborative agreements are more research oriented than commercial or internal use licenses, it is always wise to negotiate these agreements with an eye towards future commercialization efforts. SDC is available to direct or aid in the negotiation of collaborative agreements, particularly those that (a) involve the transfer of intellectual property and physical materials, or (b) have a strong possibility of generating intellectual property. SDC can be available either as a primary negotiator, or as a specialized consultant providing guidance only in certain areas, as needed.
